  • Application means the software application provided by the Company, named Train-Me-Up.com.
  • Buyer means a User who books or purchases training services through the Service.
  • Booking means an Order for one or more training sessions made through the Service.
  • Country refers to the United States of America.
  • Company (referred to as “the Company”, “We”, “Us”, or “Our”) refers to UpNetwork LLC d/b/a Train-Me-Up.com , 502 W 7th ST STE 100, Erie, ERIE COUNTY, PA 16502 USA, [ & REGISTRATION NUMBER].
  • Content means text, images, profiles, ratings, or other information posted or made available through the Service.
  • Device means any device capable of accessing the Service.
  • Feedback means suggestions or comments provided regarding the Service.
  • Goods / Services means athletic, fitness, or skills-based training services offered through the Service.
  • Operator means UpNetwork LLC d/b/a Train-Me-Up.com.
  • Order means a request or booking for training services made through the Service.
  • Payment Processor means Stripe and/or any other third-party payment processor used by the Service.
  • Provider / Seller means a User who offers training services through the Service.
  • Service means the Application, the Website, or both.
  • Terms mean these Terms of Service.
  • Third-Party Social Media Service means any external service integrated into the Service.

  • You means the individual or legal entity accessing or using the Service.

3. Acknowledgment

These Terms govern Your use of the Service and form a binding agreement between You and the Company.

By accessing or using the Site in any manner, you voluntarily agree to be bound by these Terms and Conditions. You acknowledge that you have had the opportunity to read, understand, and consent to these Terms and Conditions in their entirety. All Users and Providers must be at least eighteen (18) years of age and possess the legal capacity to enter into and be bound by these Terms and Conditions in order to participate in the Service. If a User or Provider is under the age of eighteen (18), a parent or legal guardian must serve as the primary account holder, provide all required consent, and exercise any and all supervision required by applicable law. Such parent or legal guardian expressly assumes full responsibility for the minor’s use of the Site and for any and all actions, conduct, or participation of the minor in connection with Train-Me-Up.com and any related activities, services, or events. Minors may appear under a “Display Name” or within descriptions where appropriate.

If you do not agree to these Terms and Conditions as stated herein, you must immediately cease all use of the Site and its content. By accessing or using the Site, you agree to be bound by these Terms and Conditions, regardless of whether you have read them in full or created an account.

Your use of the Service is also subject to our Privacy Policy.

4. User Accounts

4.1 Account Creation

You must provide accurate, complete, and current information when creating an Account.

4.2 Account Information

You may be required to provide personal, identity, payment, or verification information.

4.3 Account Review

The Company does not conduct background checks or endorse Users or Providers.

4.4 Account Security

You are responsible for safeguarding your password and all activity under your Account.

4.5 Account Termination

We may suspend or terminate Accounts for violations of these Terms.

5. Marketplace Role and Relationships

5.1 Marketplace Role

Train-Me-Up.com operates solely as an online marketplace connecting independent Providers with Users.

The Company:

  • Does not employ, supervise, or control Providers
  • Does not monitor training sessions
  • Is not responsible for Provider conduct or performance

5.2 Independent Contractor Relationship

Providers are independent contractors, not employees, agents, or partners of the Company.

6. Safety, Assumption of Risk, and Personal Responsibility

6.1 Assumption of Risk

Athletic, fitness, and skills-based activities involve inherent risks. Participation is voluntary and undertaken at Your own risk.

6.2 Provider Responsibilities

Providers are solely responsible for:

  • Accurate representation of credentials
  • Legal compliance and licensing
  • Training environment safety
  • Obtaining parental consent for minors

6.3 User and Parent Responsibilities

Users and guardians are responsible for:

  • Reviewing Provider profiles
  • Disclosing medical conditions
  • Approving locations
  • Supervising minors

6.4 Training Involving Minors

All training involving minors requires parental authorization and compliance with applicable child-safety laws.

6.5 Reporting and Enforcement

Safety concerns may be reported. The Company may take action but assumes no duty to supervise.

6.6 Release of Liability

To the fullest extent permitted by law, You release and hold harmless the Company from claims arising from services arranged through the Service.

7. Content

7.1 Your Right to Post Content

You retain ownership of Content but grant the Company a license to use, display, and distribute it through the Service.

7.2 Content Restrictions

You may not post unlawful, harmful, defamatory, misleading, or infringing Content.

7.3 Content Backups

The Company does not guarantee Content backups. You should retain independent copies.

7.4 Copyright Infringement

We comply with the DMCA and similar laws. Report infringement to support@trainmeup.com.

8. Orders, Payments, and Payouts (Stripe-Aligned)

Payments on Train-Me-Up.com are handled by Stripe, not by us as a bank; trainers get paid through Stripe after verification; and both buyers and trainers agree to Stripe’s rules for refunds, disputes, fees, and taxes.

9. Disclaimer of Warranties and Limitation of Liability

9.1 No Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by applicable law, Train-Me-Up.com and its owners, affiliates, officers, employees, agents, and service providers expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Title and non-infringement
  • Accuracy, reliability, or completeness of content or listings
  • Availability, uptime, or uninterrupted operation of the Service

Train-Me-Up.com makes no representations or guarantees regarding:

  • The quality, safety, legality, or effectiveness of any training service
  • The qualifications, credentials, background, or conduct of any Provider or User
  • The outcome or results of any training session
  • The compatibility or suitability of any service for any individual

All training services are provided by independent Providers, and all interactions are solely between Users and Providers.

9.2 No Professional or Medical Advice

Content and services accessed through the Service are for general informational and training purposes only and do not constitute medical, health, or professional advice.

Users are solely responsible for consulting qualified professionals regarding health, safety, and fitness decisions before participating in any training activity.

9.3 Assumption of Technology Risk

Train-Me-Up.com does not warrant that the Service will be secure, error-free, or free from viruses or other harmful components, or that any defects will be corrected.

You are responsible for implementing appropriate safeguards for your own devices and data.

9.4 Limitation of Liability

To the fullest extent permitted by law, in no event shall Train-Me-Up.com or its affiliates, officers, directors, employees, agents, or service providers be liable for any:

  • Indirect
  • Incidental
  • Special
  • Consequential
  • Exemplary or punitive damages

including but not limited to loss of profits, loss of data, personal injury, property damage, business interruption, or emotional distress arising out of or related to:

  • Use of or inability to use the Service
  • Any training services arranged through the Service
  • Acts or omissions of Providers or Users
  • Unauthorized access to or alteration of your data
  • Payment processing, chargebacks, or payout delays

even if Train-Me-Up.com has been advised of the possibility of such damages.

9.5 Liability Cap

To the fullest extent permitted by law, the total aggregate liability of TrainMeUp.com for any and all claims arising out of or relating to the Service shall not exceed the greater of:

  1. The total amount of platform service fees actually paid by You to Train-Me-Up.com in the twelve (12) months preceding the event giving rise to the claim, or
  2. One hundred U.S. dollars (USD $100).

This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

9.6 Provider and User Responsibility

You acknowledge that Providers are independent contractors and not employees or agents of Train-Me-Up.com.

Train-Me-Up.com is not responsible for supervising, directing, or controlling training sessions, and is not liable for any injury, loss, or damage arising from in-person or virtual sessions between Users and Providers.

9.7 Third-Party Services

The Service may rely on or integrate third-party services, including payment processors, messaging tools, and hosting providers.

TrainMeUp.com is not responsible for the availability, accuracy, or performance of third-party services and disclaims all liability arising from their acts or omissions.

9.8 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages.

In such jurisdictions, the above exclusions and limitations apply only to the maximum extent permitted by applicable law.

9.9 Essential Basis of the Bargain

You acknowledge that the limitations of liability and disclaimers of warranties set forth in these Terms are an essential basis of the agreement between You and Train-Me-Up.com and that TrainMeUp.com would not be able to provide the Service on an economically reasonable basis without such limitations.

10. Governing Law and Legal Compliance

10.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be governed by and construed in accordance with the laws of the United States and the laws of the State in which the Company is registered and operates, without regard to its conflict of law principles.

You agree that the Service is deemed to be provided from within that State, and that these Terms are entered into in that State.

10.2 Venue and Jurisdiction

Unless otherwise required by applicable law, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within the State in which the Company is registered and operates.

You consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

10.3 Compliance With Laws

You agree to comply with all applicable local, state, national, and international laws, rules, and regulations when using the Service, including but not limited to laws relating to:

  • Personal and youth safety
  • Athletic and training activities
  • Consumer protection
  • Data protection and privacy
  • Tax reporting and payment processing

Providers are solely responsible for complying with all laws and regulations applicable to the services they offer, including any licensing, certification, insurance, or permit requirements.

10.4 Export and Sanctions Compliance

You represent and warrant that:

  • You are not located in, under the control of, or a resident of any country subject to U.S. government embargoes or trade sanctions, and
  • You are not listed on any U.S. government list of prohibited or restricted parties.

You may not use the Service in violation of any applicable export control or sanctions laws or regulations.

10.5 International Use

The Service is controlled and operated from the United States. We make no representation that the Service is appropriate or available for use in other locations.

If You access the Service from outside the United States, You do so at Your own initiative and are responsible for compliance with local laws.

10.6 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

10.7 No Waiver

The failure of the Company to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Any waiver must be in writing and signed by an authorized representative of the Company.

10.8 Assignment

You may not assign or transfer any rights or obligations under these Terms without prior written consent from the Company.

The Company may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, sale of assets, or reorganization.

10.9 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to provisions relating to liability limitations, indemnification, governing law, and dispute resolution.

11. Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company or Operator and its licensors.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company or Operator.

12. Feedback

You assign all rights, title, and interest in any Feedback You provide the Company or Operator. If for any reason such assignment is ineffective, You agree to grant the Company or Operator a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

13. Dispute Resolution

If You have any concerns or disputes about the Service, You agree to first try to resolve the dispute informally by contacting the Company or Operator.

14. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Youth Participation and Parental Consent

15.1 Eligibility of Minors

Training services for individuals under eighteen (18) years of age (“Minors”) may be arranged through the Service only with the express consent and involvement of a parent or legal guardian (“Parent” or “Guardian”).

Minors may not independently create Accounts, book services, or communicate with Providers without Parent or Guardian authorization.

15.2 Parental Authorization and Account Responsibility

By creating an Account, booking a service, or authorizing a Minor’s participation, the Parent or Guardian represents and warrants that:

  • They are the Minor’s legal Parent or Guardian
  • They have full authority to consent on the Minor’s behalf
  • All information provided about the Minor is accurate

The Parent or Guardian assumes full responsibility for all activity conducted by or on behalf of the Minor through the Service.

15.3 Consent to Participation and Assumption of Risk

By authorizing a Minor’s participation, the Parent or Guardian:

  • Voluntarily consents to the Minor’s participation
  • Acknowledges and assumes all risks associated with training activities
  • Releases TrainMeUp.com from liability to the fullest extent permitted by law

This applies whether or not the Parent or Guardian is present during sessions.

15.4 Health Disclosures

Parents and Guardians are solely responsible for disclosing relevant medical conditions, injuries, allergies, or limitations and for determining the suitability of training services for the Minor.

15.5 Supervision and Location Responsibility

TrainMeUp.com does not supervise training sessions involving Minors.

Parents and Guardians are responsible for approving locations, transportation, and determining whether parental presence is required.

15.6 Provider Obligations Regarding Minors

Providers offering services to Minors are solely responsible for:

  • Obtaining parental consent
  • Maintaining professional boundaries
  • Complying with all applicable youth-safety laws
  • Ensuring appropriate training environments

The Company does not verify Provider background checks or youth-specific credentials.

15.7 Communications Involving Minors

Communications regarding training services for Minors must involve or be accessible to the Parent or Guardian. Any platform controls do not create a duty to supervise.

15.8 No Supervisory or Custodial Duty

Nothing in these Terms creates a custodial, supervisory, or fiduciary relationship between the Company and any Minor.

15.9 Indemnification (Youth Activities)

To the fullest extent permitted by law, Parents and Guardians agree to indemnify and hold harmless the Company from claims arising out of a Minor’s participation in training services.
